| Resumo: | O presente estudo tem por objetivo apresentar aspectos importantes da Lei nº 14.193/2021, que instituiu a Sociedade Anônima do Futebol (SAF) no Brasil, mormente sob a perspectiva da transmissão de obrigações, buscando demonstrar, de forma clara, como a adoção do Regime Centralizado de Execuções (RCE) possibilitará a reestruturação de clubes com dívidas “impagáveis”, que impactam diretamente na atividade. Dessa forma, foram analisados todos os artigos da Lei da SAF que versam sobre este instituto, perquirindo sobre suas particularidades. Em acréscimo, buscou-se entender, na prática, como se daria a aplicação da lei, para tanto, foram analisados os pedidos de processamento de RCE do Fluminense-RJ nos juízo cível e trabalhista, sendo que até o presente momento o plano apresentado pelo clube em juízo está sendo cumprido, e consequentemente auxiliando em seu soerguimento. Em última análise, ainda foram analisadas as particularidades do RCE em comparação com a Recuperação Judicial (RJ), buscando encontrar os motivos eleitos pela maioria dos clubes que optam pelo RCE em detrimento da RJ. |
| Abstract: | This study aims to present important aspects of Law nº 14.193/2021, which established the Sociedade Anônima do Futebol (SAF) in Brazil, especially from the perspective of the transmission of obligations, seeking to demonstrate, in a clear way, how the adoption of the Regime Centralizado de Execuções (RCE) will enable the restructuring of clubs with "unpayable" debts, which directly impact the activity. Thus, all the articles of the SAF Law that deal with this institute were analyzed, inquiring about their particularities. In addition, it was sought to understand, in practice, how the application of the law would take place, for this, the requests for processing RCE of Fluminense-RJ in the civil and labor courts were analyzed, and so far the plan presented by the club in court is being fulfilled, and consequently assisting in its upliftment. Ultimately, the particularities of the RCE in comparison with the Judicial Reorganization (RJ) were also analyzed. |
