| Resumo: | Este trabalho visa a apresentar alguns aspectos relevantes trazidos pela Lei 14.193/2021, a que instituiu e regulamentou a figura da Sociedade Anônima do Futebol (SAF) no Brasil. O intuito é discorrer sobre os aspectos históricos envolvendo as estruturas jurídicas dos clubes de futebol no país até chegar no contexto jurídicolegislativo que culminou na promulgação da nova legislação. Após isso, o trabalho promoverá uma análise qualitativa da Lei, relacionando as formas de constituição da SAF com o seu respectivo regime de obrigações, a fim de entender como serão afetados os interesses dos credores. A partir dessa abordagem e aproveitando-se de alguns casos concretos, o presente trabalho concluirá que a via “drop down” será a mais utilizada pelos clubes de futebol brasileiros que optarem pelo modelo SAF. |
| Abstract: | This work aims to present some relevant aspects brought by Law 14.193/2021, which instituted and regulated the figure of the “Sociedade Anônima do Futebol” (SAF) in Brazil. The aim is to discuss the historical aspects involving the legal structures of football clubs in the country until arriving at the legal-legislative context that culminated in the enactment of the new legislation. After that, the work will promote a qualitative analysis of the Law, relating the forms of constitution of the SAF with its respective regime of obligations, in order to understand how the interests of creditors will be affected. Based on this approach and taking advantage of some concrete cases, this work will conclude that the “drop down” route will be the most used by Brazilian football clubs that opt for the SAF model. |
