| Resumo: | A presente monografia tem por objetivo trazer à baila a análise do instituto da exclusão dos sócios na sociedade limitada, avaliando seus alicerces históricos e contextualizando seus desdobramentos sobre o enfoque legal brasileiro, em busca do aspecto teleológico das normas que tratam da matéria, a fim de se descobrir os motivos que ensejam a exclusão dos sócios na sociedade limitada, suas repercussões para a sociedade brasileira e os princípios norteadores da matéria, sob a luz da responsabilidade do cumprimento obrigacional proposta por Fabio Ulhoa Coelho e a análise dos procedimentos de exclusão de membros do quadro societário tanto na forma judicial como extrajudicial, abarcando as exclusões facultativas e de pleno direito. |
| Abstract: | The main objective of this paper is to discuss and analyze the exclusion of partner from a limited company by evaluating the historical process that has influenced Brazilian legal system, and to search the teleological arguments of the Brazilian law in the matter, from the analysis of what motivates the exclusion of a partner, its repercussions in the Brazilian society as well as debating the main principles that guide the matter, under the focus of fulfilling the obligation responsibility proposed by Fabio Ulhoa Coelho and also analyze the procedures of the exclusion. |
