| Resumo: | O presente estudo, de modestas proporções, destina-se à análise da estrutura da empresa individual de responsabilidade limitada, instituto jurídico criado pela Lei de nº 12.441/11 e que, em suma, representa a positivação normativa de uma nova forma de organização empresarial através da qual uma única pessoa (natural) pode destacar de seu patrimônio pessoal uma parcela destinada à consecução da atividade econômica e, por conseguinte, explorar tal atividade com limitação de sua responsabilidade à determinada fração de seu patrimônio. A empresa individual de responsabilidade limitada – ou EIRELI, como doutrinariamente apelidada – será analisada segundo as diretrizes do princípio constitucional da livre iniciativa, alicerce da ordem econômica cujo valor social é considerado fundamento da República Federativa do Brasil. Partindo da conceituação teórica dada ao referido princípio por Eros Roberto Grau, buscar-se-á apurar se a EIRELI é compatível com o ideal da livre iniciativa assentado em seio constitucional. |
| Abstract: | This paper, based on humble pretensions, aims to analyze the structure of the limited liability individual company, a legal institute created by the Brazilian No. 12.441/11 act. The limited liability individual company represents the normative creation of a new model of business organization through which a single person can separate from his personal properties a part specifically intended to achieve economic activity, exploring such activity with his liability limited to a separated-piece of his assets, instead of risking all his properties. The limited liability individual company will be analyzed according to the guidelines of the constitutional principle of free enterprise (basis of the economic order), whose social value is considered one of the foundations of Federal Republic of Brazil. Starting from the theoretical definition of free enterprise built by Eros Roberto Grau, this paper will search for an answer to the following question: is the limited liability individual company compatible with the principle of free enterprise, attached to the constitutional core? |
